MANNER OF SALE: This real estate will be offered as a “MULTI-PARCEL” auction in 8 individual tracts and in combinations of tracts. It will be sold in the manner that produces the highest aggregate bid. There will be OPEN BIDDING on all tracts and combinations of tracts during the auction as determined by the auction company. Bids on tracts, tract combinations, and the total property may compete. Auction procedure and increments of bidding are at the discretion of the auction company.

TERMS: 10% down day of sale, with the balance to be paid on or before November 6 2009, or upon such terms as may be acceptable to the Seller. Personal and corporate checks are acceptable for the down payment with the final payment to be made in certified funds. All funds will be held by the auction company in their trust account or by an identified title/escrow company. Bidding is not contingent upon financing. Financing, if necessary, needs to be arranged and approved prior to the auction. Announcements made day of sale take precedence over printed material and previously made oral statements.

MINERAL RIGHTS: All of the Seller’s interest will transfer to the Buyer(s) at closing.

CROPS: Buyer(s) will receive the landlord’s share of the 2010 wheat crop to be planted this Fall by the current tenant. See chart below for planted wheat acres.

FSA INFORMATION: Buyer(s) will receive the landlord’s share of all FSA wheat payments and 100% of all FSA feed grain payments associated with the 2010 crop year. See chart below for base acre information.

CRP INFORMATION: Buyer(s) will receive 100% of the 2010 CRP payments on Tracts 4 and 5.

Tract 4: 48.5 acres at $38.15 = $1,850 annual payment. Expiration date: 9/30/2012

Tract 5: 146.5 acres at $36.60 = $5,362 annual payment. Expiration date: 9/30/2013

POSSESSION:

?January 15, 2010, on the open cropland acres.

?After the 2010 wheat harvest on the planted wheat acres.

?Date of closing on the CRP and grassland acres.

IRRIGATION INFORMATION: There is a Lockwood section sprinkler with an electric motor on Tracts 1, 2 and 3. There is also natural gas available at the motor if buyer desires to convert from electricity.

The well is located on Tract 1 and is covered under Water Permit #15190-FP and is permitted for 543 AF administered according to a consecutive three-year rolling average. Details are available from the Frenchman GWMD office in Holyoke. The well was redrilled in 2004 and was recently test pumped at 1,040GPM.

In the event Tracts 1 sells separately, the irrigation well and all irrigation equipment, including the section sprinkler will go to the Buyer of Tract 1, with up to 400AF of appropriation available.

REAL ESTATE TAXES: Seller will pay taxes for 2009 and prior years. Taxes for 2010 will be paid by the Buyer(s).

ACCEPTANCE OF BIDS: Each successful bidder will be required to enter into a Contract to Buy and Sell Real Estate immediately following the auction. Copies of the contract will be available from the auction company prior to the sale.

CLOSING: Date of closing will be on or before November 6, 2009.

EVIDENCE OF TITLE: Seller will provide title insurance to the Buyer(s) in the amount of the purchase price with the premium to be paid one-half by the Buyer(s) and one-half by the Seller. Title evidence will be provided on sale day.

ACREAGES: Acreage figures are considered to be approximate and are from reliable sources, based on (USDA) FSA figures. All FSA information is subject to change. FSA acres may not be the same as deeded acres.

INSPECTIONS: Each potential bidder is responsible for conducting their own independent inspections and due diligence concerning pertinent facts about the property.
